Vereshchagin Experimental Training Dairy Plant is a company with 100% state capital. It is a subject to be privatized until the end of 2016. According to a President’s order № 2102-r of 2010 the company was included into the forecast plan of privatization for 2011-2013. In 2013 into the Board of Directors of the plant was chosen Igor Lupinos, former Raw Milk Procurement Director at Wimm-Bill-Dann, to the position of Independent Director. Mr. Lupinos denies any financial interest in the project, according to his words it’s “a desire to use knowledge and experiment for the sake of the government”.
Lupinos candidacy incurred displeasure in the Ministry of Agriculture. The Ministry asked to exclude him from the Board of Directors by reason of “being affiliated person”. Lupinos denies this fact.
In autumn 2013 a new Board of Directors was elected. It included Mr. Ryndin (professional designated agent), Mr. Lupinos (Group of Companies Proliv Chairman of Board of Directors, Independent Director), Mr. Malkov (Vereshchagin Vologda State Dairy Academy Principal), Mr. Temnikov (Russian Engineering Academy of Management and Agrobusiness Principal, professional designated agent), Ms. Chernysheva (Federal Property Management Agency Board of Management Director). Consequently the Board of Directors of a state company included people irrelevant to the company and motivated by a desire to help the government and to increase their professional level.
The plant’s inspection was made distantly based on accounting reports. Its results and the way it was conducted demonstrate that the inspector had a task to find some blackmail material in regard of Director General. Mr. Angelov, representative of the audit committee, while being interviewed by The DairyNews made mistakes answering the question about volumes of butter sales at the company – according to his information it’s 15%, according to The DairyNews data – 43% (from total turnover in 2013). It is no surprise that the results of the inspection were not proved by the Board of Directors.
The fact that the inspection was conducted initiated a PR campaign against the plant’s senior management which taints its image. “I produced a good butter and would like to continue doing it. I am in my position, fulfill my duties, - says Sergey Molotov, current General Director of the plant. – I am surprised in this situation by two facts: big desire to change the head and an aim to control the money flow holding no responsibility at the plant.
The majority of market participants interviewed by The DairyNews characterized the plant as a stable and successful company and its General Director Sergey Molotov as a professional and qualitative manager who managed to raise the plant to the level of one of the leading in the industry.
